Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the Hendrix Environmental Group LLC website (the “Site”), and any services offered by Hendrix Environmental Group LLC (“we,” “us,” “our,” “HEG”). By using the Site or engaging our services, you agree to these Terms. If you do not agree, do not use the Site or our services.

1. Services; Scope

  1. Services. We provide landscaping, environmental, irrigation, pest control, maintenance, design, installation, and related services (the “Services”).

  2. Proposal / Agreement. Any provision of Services will be subject to a written agreement or proposal between HEG and the client (“Client”) which incorporates these Terms (or references them).

  3. Modifications. We may modify or discontinue (temporarily or permanently) the Site or Services (or any part thereof) at our sole discretion, without notice and without liability to you.

2. Use of Site / Acceptable Use

  1. Permitted Use. You may use the Site for lawful purposes. You may view, download, and print content for your personal, noncommercial use, subject to copyright and other notices.

  2. Prohibitions. You shall not (and shall not assist or permit others to):

  • Use the Site or Services in violation of any law or regulation;
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with someone;
  • Upload viruses, malware, or harmful code;
  • Attempt to gain unauthorized access to the Site, servers, or networks;
  • Harass, abuse, or harm another person;
  • Use automated systems (bots, scrapers) to access or index the Site, unless expressly permitted.

3. Intellectual Property

  1. Ownership. All content, trademarks, logos, designs, text, images, data, software, and materials on or in the Site or related to our Services (“Materials”) are owned by HEG or its licensors, and are protected by copyright, trademark, and other intellectual property laws.
  2. License. We grant you a limited, revocable, nonexclusive license to use the Materials solely for your personal, noncommercial purpose, subject to these Terms.
  3. Restrictions. You may not copy, modify, distribute, republish, display, or create derivative works from the Materials without our express written permission.

4. User Content / Submission

  1. User Submission. If you submit or post content (such as comments, queries, ideas, feedback) via the Site or in connection with Services (“User Content”), you grant HEG a worldwide, royalty-free, nonexclusive, transferable, sublicensable license to use, reproduce, modify, publish, distribute, and display that User Content in connection with our business.
  2. No Violations. You represent and warrant your User Content does not violate any law, infringe on third-party rights, or contain harmful code.
  3. Removal. We reserve the right (but are not obligated) to remove or disable access to any User Content at any time, for any or no reason.

5. Disclaimers; No Warranty

  1. “As Is.” The Site and Services are provided on an “as is” and “as available” basis, without warranty of any kind.
  2. No Guarantees. HEG does not guarantee the Services will meet your expectations, be uninterrupted, error-free, or that defects will be corrected.
  3. No Liability for Damage. HEG is not responsible for indirect, incidental, special, punitive, or consequential damages, loss of profits, data, or business interruption, arising out of or in connection with your use of the Site or Services, even if HEG has been advised of the possibility of such damages.
  4. Force Majeure. We will not be liable for delays or failures due to causes beyond our reasonable control (e.g. natural disasters, storms, acts of God, government acts, strikes, etc.).

6. Limitation of Liability; Indemnity

  1. Limitation. To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms, the Site, or Services will not exceed the amounts you paid HEG (if any) for the applicable Services in the prior twelve (12) months.
  2. Indemnification. You agree to defend, indemnify, and hold harmless HEG and its officers, directors, employees, agents, affiliates and licensors from and against any claims, damages, obligations, losses, liabilities, costs or debt (including attorneys’ fees) arising from:
    (a) your use of or conduct on the Site or Services;
    (b) your User Content;
    (c) your breach of these Terms; or
    (d) violation of any third-party rights.

7. Payment Terms

  1. Fees & Invoices. Service fees will be as set forth in the applicable agreement or proposal. We may invoice in milestones, installments, or upon completion, per that agreement.
  2. Due Date. Payments are due as specified (e.g. within 30 days) unless otherwise agreed. Late payments may incur interest or collection costs.
  3. Suspension. HEG reserves the right to suspend or terminate Services if you fail to pay amounts due.

8. Termination

  1. By Either Party. Either party may terminate the agreement (with written notice) for cause (material breach) if the other fails to cure within a reasonable period.
  2. Effect. Upon termination, you remain responsible for payment for Services performed up to termination.
  3. Survival. Provisions of these Terms that by their nature should survive termination (e.g. indemnity, limitation of liability, intellectual property) survive.

9. Governing Law & Dispute Resolution

  1. Governing Law. These Terms and any agreement will be governed by and construed under the laws of the State of [Insert State, e.g. Florida or whichever state HEG is incorporated in], without regard to its conflict of law rules.
  2. Venue / Arbitration. Any dispute arising hereunder must be resolved in the courts of [County, State] (or via binding arbitration in accordance with [e.g. the rules of the American Arbitration Association], if you prefer).
  3. Waiver of Jury Trial. To the extent permitted, parties waive any right to jury trial.

10. Notices

Any notices required or permitted under these Terms must be in writing and delivered via email (to your address on file) or via certified mail to addresses listed in the agreement.

11. Miscellaneous

  1. Entire Agreement. These Terms plus any written agreement or proposal constitute the entire agreement between you and HEG regarding the Site and Services, superseding all prior or contemporaneous communications and proposals.
  2. Severability. If any provision is found invalid or unenforceable, the remainder will remain in effect.
  3. No Waiver. Failure to enforce any right under these Terms is not a waiver of that right.
  4. Assignment. You may not assign or transfer your rights or obligations without our consent; we may assign ours.
  5. Amendments. We may amend these Terms from time to time; we’ll post the new version on the Site with a new “Effective Date.” Continued use after changes constitutes acceptance.
